Welcome to eVoicedata. These Terms of Service ("Terms") govern your access to and use of our AI-powered voice and chat solutions, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
eVoicedata ("we," "us," or "our") reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
1. Description of Services
eVoicedata provides AI-powered communication solutions including:
- AI Voice Agents: Automated voice assistants that handle inbound and outbound calls for your business, including appointment scheduling, customer inquiries, and lead qualification.
- AI Chat Solutions: Intelligent chatbots that engage website visitors, answer questions, and capture leads 24/7.
- CRM Integration: Seamless integration with your existing business systems for lead management and follow-up.
- Analytics & Reporting: Insights into call volumes, chat interactions, and conversion metrics.
2. Eligibility
To use our Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
3. User Responsibilities
When using our Services, you agree to:
- Provide accurate and complete information when setting up your account and configuring AI agents.
- Use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
- Not use the Services to make fraudulent, harassing, or misleading communications.
- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use.
- Ensure that your use of AI voice agents complies with all applicable telemarketing laws, including the Telephone Consumer Protection Act (TCPA) and Do Not Call regulations.
- Obtain all necessary consents from individuals before initiating AI-powered communications with them.
- Not attempt to reverse engineer, decompile, or extract source code from our AI systems.
4. AI Technology Disclaimer
Our Services utilize artificial intelligence and machine learning technologies. While we strive for accuracy and reliability, you acknowledge and agree that:
- AI-generated responses may occasionally contain errors or inaccuracies.
- The AI systems are designed to assist with, not replace, human judgment in business decisions.
- We continuously improve our AI models, which may result in changes to response patterns over time.
- You are responsible for reviewing and verifying any information provided by our AI systems before taking action.
- AI voice agents should be disclosed as automated systems where required by law.
5. Data Collection and Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection, use, and sharing of information as described in our Privacy Policy.
Call recordings, chat transcripts, and other interaction data may be stored and analyzed to improve our Services, train AI models, and provide you with analytics and insights. You are responsible for informing your customers about recording practices where required by law.
6. Intellectual Property
All content, features, and functionality of our Services—including but not limited to AI models, algorithms, software, text, graphics, logos, and trademarks—are owned by eVoicedata or our licensors and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the term of your subscription. This license does not include the right to sublicense, resell, or redistribute our Services.
7. Payment and Billing
Certain features of our Services may require payment of fees. By subscribing to paid Services, you agree to pay all applicable fees as described in your service agreement or on our pricing page. All fees are non-refundable unless otherwise specified in writing.
We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVOICEDATA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Termination
Either party may terminate the service agreement at any time with 30 days' written notice. We may immediately terminate or suspend your access to the Services if you violate these Terms or engage in any activity that we determine, in our sole discretion, may harm us, our Services, or other users.
Upon termination, your right to use the Services will immediately cease. We may retain certain data as required by law or for legitimate business purposes.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Indemnification
You agree to indemnify, defend, and hold harmless eVoicedata and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
